Brazil’s Natura clarifies shareholder stake

Natura has issued a clarification regarding its shareholding structure following a statement from a major investment fund.

Clarification on Shareholding

The Lotus Fundo de Investimento em Participações Multiestratégia, a vehicle managed by entities linked to Advent International, has informed Natura that it is not the holder or taker of shares, nor of securities or derivatives backed by shares issued by Natura.

Ongoing Commitment

In a statement, Natura emphasized that the investor maintains its commitment to acquire shares issued by the company, according to the terms of a binding agreement.

Details of the Binding Agreement

This agreement was originally announced on March 30. At that time, Natura’s shareholders and the Lotus Fund, which is owned by vehicles managed by Advent, entered into a binding commitment for the acquisition of a stake equivalent to a minimum of 8% and a maximum of 10% of the company’s share capital. The transaction is expected to occur within a period of up to six months from that date.

Future Disclosures

The company reiterated that any future change resulting in a relevant shareholding position by this investor, or by any other shareholder, will be promptly communicated to the market.

The binding agreement represents a significant capital injection for Natura, a global cosmetics company known for its direct sales model and brands like Avon.
