Brazil SLC Agricola exercises right to buy Mato Grosso farms

SLC Agrícola announced on Friday, the 26th, that it has exercised its right of first refusal to acquire all the rural properties that make up the portfolio known as “Bloco Mato Grosso.” These lands were put up for sale by the Grupo Radar.

The Bloco Mato Grosso includes a set of properties located in the state of Mato Grosso, totaling approximately 41,214 physical hectares of registered area. This corresponds to about 28,800 hectares of arable land, which historically allows for 100% second-crop planting.

Regarding the 28,800 arable hectares, the company already operates 17,600 hectares. The acquisition will be carried out as a “porteira fechada” (fence-to-fence) deal, on an indivisible basis and under the same conditions as the proposal received by the asset owners, SLC stated in a material fact filing sent to the market.

The total value of the transaction is R$ 1.850 billion.

The payment structure includes a down payment of R$ 700 million, to be deposited into an escrow account within five business days from this date. This amount will be adjusted by 100.25% of the CDI (Interbank Deposit Certificate) rate, starting five business days from May 28, 2026. The remaining balance of R$ 1.150 billion will be paid on the date the public purchase and sale deeds are signed, which is expected to occur by October 30, 2026.

SLC Agrícola is a major agricultural producer in Brazil, focusing mainly on the cultivation of soybeans, corn, and cotton. The company also operates in the production of seeds and other crops. The acquisition of the Bloco Mato Grosso properties is part of the company’s strategy to expand its land base and increase its production capacity in one of Brazil’s key agricultural regions. The Mato Grosso state is a leading producer of grains in the country, offering favorable conditions for large-scale farming operations.
