Banco Bradesco announced Thursday night that the incorporation of shares issued by Bradesco Gestão de Saúde by Bradsaúde has been approved and completed. Bradsaúde is the current name of the company formerly known as Odontoprev.
With the share incorporation, BGS became a wholly owned subsidiary of Bradsaúde. The stake held by Bradesco in Bradsaúde’s capital now represents 91.35% of total and voting shares. That figure does not take into account any possible exercise of withdrawal rights by dissident shareholders of Bradsaúde. The deadline for those shareholders to request withdrawal ends on May 7, 2026.
On Friday, May 1, an extraordinary general meeting of Mediservice Operadora de Planos de Saúde will be held. The purpose of the meeting is to approve the contribution of Bradsaúde’s dental plan portfolio along with its other operating assets and liabilities to Mediservice. As a result of the share incorporation, Mediservice became an indirectly controlled company of Bradsaúde.
The transaction is part of a broader reorganization of Bradesco’s healthcare operations. By bringing BGS under Bradsaúde and restructuring the dental plan business through Mediservice, the bank is consolidating its control over the health insurance segment. The move also simplifies the corporate structure of the companies involved. The changes take effect immediately after the completion of the share incorporation and the planned asset contribution.
